Statutes of the

International Academy for Aesthetic Plastic Surgery (IAAPS)

 

Article 1

An International Association is constituted with a humanitarian philanthropic, scientific and educational object under the name: "International Academy for Aesthetic Plastic Surgery”.

Article 2

The offices of the IAAPS are established in St. Petersburg - Russia, Mumbai - India and Novi Sad - Serbia. The office can be transferred to any other place by a simple decision of the Board.

Article 3

The objectives of the IAAPS, a non profit-making organization, are:

 - the promotion of the highest level of aesthetic plastic surgery,

- where doctors ask for such courses or workshops in way of continuous education on aesthetic plastic surgery

 - and any action which might further the achievement of the aforementioned objective.

Article 4

1. Board

The Board of IAAPS is composed of at least three members, the President, the Vice-President and the Secretary. The Board members must be internationally known experts in the field of aesthetic plastic surgery. The first Board members will be called the founding members.
The leading Board members - President, Vice-President, Secretaries - are elected for the period of four years and can only once be reelected.

2. Members

The Board can suggest to accept as full members into the IAAPS medical doctors specialized in aesthetic plastic surgery of any country
. Medical doctors and scientists of other fields who rendered a great contribution to aesthetic plastic surgery may be accepted as associated members without voting rights.

3. Local Officials

For different parts of the World where demand for such special knowledge is above-average a local Secretary should be appointed.

4. Additional Officials

The Board can proclaim one Honorary President and one or more Honorary Master Members who should be extraordinary celebrities in the World of Aesthetic Plastic Surgery.

Those Board members who have made two or more presentations, master-class-lessons or demonstrating operations at one or more IAAPS meetings can gain the title: Visiting Professor of IAAPS.

5. Associated organizations

Autonomous national or international organizations can be recognized by the IAAPS to become an associated organization. Associated organizations do not have voting rights.

Article 5

Any member or associated organization who wishes to resign from the IAAPS shall do so by informing the Board in writing.

The resignation shall come into force after a period of 1  month.

The General Assembly, deciding by a majority of three-quarters of its members can exclude a member or associate member, according to article 4, if the member compromises the objectives or the survival of the IAAPS through its actions and after being invited to present its defense.

Article 6

The bodies of the IAAPS are:

 the General Assembly

 the Board

Article 7

The General Assembly has full powers for the pursuance of the IAAPS’  object. It is convened by e-mail by the President at least quadrannual.

Article 8

The following decisions are reserved for the General Assembly

1. Admission and exclusion of members and associated organizations.

2. Appointment of Board Members,

3. Determining the contribution levels.

4. Amendment of the statutes.

5. Winding up of the association and allocation of its assets after settlement of debts.

Article 9

Each member possesses one vote. Resolutions are made by a majority of members present or represented according to the procedures set down in Article 10 and will be brought to the attention of all members and associated organizations.

Article 10

1. When a member is unable to take part in the General Assembly meeting, he or she can give

    to another member the power to represent him or her  during that meeting.

2. The elections are decided by a majority of the members present or represented.

Article 11

A member of the Board can give in his/her absence a proxy to another Board member or to a mandated member; no Board member shall hold more than one proxy.

Article 12

Board decisions are normally taken by consensus. If no consensus can be reached, Board decisions are taken by majority.

Article 13

1. The Board has all management and administrative powers subject to those powers held by

    the General Assembly. The Board has the power of decision and positions on behalf of the

    IAAPS, except those reserved to the General Assembly.

Article 14

All acts which bind the IAAPS are signed by the Honorary President, the President, the Vice-President or, if unavailable, by the Secretary.
 

Article 15

The Board and all members accept to support their own travel costs to the country, where a course or workshop takes place. The inviting doctors are required to take care for the local expenses for housing and food according to the invitation.

Article 16

Any proposal to amend the statutes or to wind up the IAAPS must come from the founding Members.

The Board shall inform the members of the date of the General Assembly which is to rule on said proposal, at least three months in advance.

The General Assembly cannot make a valid decision on an amendment of the statutes or the winding up of the Association unless three quarters of the members with voting rights are present or represented.
